Curaleaf Presses Forward as Aurora Explores Rival Organigram Offer

STAMFORD – Curaleaf Holdings Inc. issued a pointed statement, acknowledging Aurora Cannabis’s announcement of a competing arrangement agreement with Organigram Global Inc., and making clear it has no intention of standing down.

Organigram, in its turn, announced it would acquire all outstanding Aurora shares at C$7.80 per share, placing Aurora’s fully diluted equity value at approximately CA$561 million. The arrangement is partly financed by British American Tobacco (BAT) through a concurrent CA$187.5 million private placement. The two companies described the offer as representing a 93% premium to Aurora’s unaffected share price from August 10, 2026, and a 21% premium over Curaleaf’s standing offer as measured on November 2.

Curaleaf isn’t accepting that math. In its statement, the company said its enhanced bid [US$5 per Aurora share in a combination of stock and US$1.00 in cash, following an October 6 revision] delivers “better value,” citing a stronger combined capital markets profile, greater deal certainty, and a faster path to close. Curaleaf first launched its unsolicited offer in August, then raised it by roughly 25% in early October.

The sharpest language in Curaleaf’s statement was reserved for Aurora’s board. Curaleaf argued that Aurora’s directors granted Organigram due diligence access while persistently refusing the same to Curaleaf – a decision it called “gross dereliction of their fiduciary duties.”

Curaleaf also characterized Organigram as a significantly smaller, underperforming company burdened with anticipated shareholder dilution and weak cash generation, backed by an investor  [BAT] that it described as carrying a “disappointing cannabis investment track record.” As a further point of contention, Curaleaf noted that neither Aurora nor Organigram addressed, in their joint announcement, the dilutive or accretive impact of the arrangement on Aurora shareholders.

The statement additionally flagged material details absent from Organigram’s disclosure:

  • the size of any potential break fee,
  • management and board composition post-close, and
  • the specific investor rights being granted to BAT.

Curaleaf said it would study the Organigram proposal before determining its next steps.

The proposed Organigram-Aurora entity would hold five EU-GMP certified production and distribution facilities and project over CA$50 million in operational synergies from consolidated procurement and distribution. The transaction is expected to close in January 2027, pending shareholder votes and regulatory approvals.

What Aurora shareholders are now weighing is a board-endorsed, BAT-backed arrangement vs. a hostile cash-and-stock offer from one of the larger Cannabis operators in North America. Organigram’s CA$7.80-per-share acquisition of Aurora Cannabis functions as an effective “white knight” defense, leveraging a 21% premium over Curaleaf’s hostile bid to secure board-approved alignment.

Backed by strategic cornerstone investor BAT, the combined entity unites Organigram’s domestic adult-use strength with Aurora’s high-margin international medical Cannabis footprint and global EU-GMP facilities. The strategic rationale rests on delivering over CA$50 million in annual run-rate synergies through supply-chain optimization, manufacturing rationalization, and corporate overhead elimination. However, funding the cash component through new term debt increases pro forma leverage, elevating integration risks in an already margin-sensitive market. Ultimately, this consolidation creates a formidable global player capable of challenging top U.S. operators, provided management executes cleanly and Curaleaf does not return with a richer counteroffer.
