STAMFORD – Curaleaf Holdings Inc. posted third-quarter 2026 net revenue of $352.7 million with gains across both its domestic and international segments. Revenue grew 11% YoY and roughly 4% sequentially, extending three straight quarters of domestic year-over-year growth under the company’s Built For Growth strategy.

Both retail and wholesale channels pulled their weight. Domestic net revenue reached $293.9 million, while international revenue came in at $58.7 million. Wholesale revenue climbed 21% YoY to $106.2 million, now representing 30% of total revenue, driven by robust contributions from Curaleaf International, New York, and Ohio.

The results fell slightly short of the $355.4 million analyst consensus estimate, and the GAAP net loss attributable to shareholders from continuing operations came in at $37.4 million, translating to a loss of $0.14 per share. Adjusted EBITDA reached $77.6 million at a 22% margin, down approximately 56 basis points from the year-prior quarter.

Margins are where the pressure shows most clearly. Adjusted gross profit margin from continuing operations came in at 48.7%, compared with 50.2% in Q2 2026 and 50.6% in Q3 2025 – a sequential and year-over-year decline. Selling, general and administrative expenses grew 10.6% YoY to $131 million, outpacing revenue growth in the quarter. The company carried $636.9 million in net outstanding debt at quarter-end alongside $104.9 million in cash.

On the operational side, Curaleaf expanded its Florida retail footprint to 78 dispensaries with two new openings, bringing its nationwide operated-and-managed store count to 188 locations. The company also secured the first two registrations for standardized Cannabis preparations in Spain [a meaningful regulatory foothold in one of Europe’s most closely tracked Cannabis markets] and was added to the FTSE Canada All Cap Index during the quarter.

The most significant forward-looking development sits outside the income statement. Curaleaf launched a formal takeover bid for Aurora Cannabis in August at a 45% premium to Aurora’s unaffected share price. On October 6, Curaleaf enhanced the offer, raising the per-share consideration to $1.00 in cash plus 0.4013 subordinate voting shares, subject to a maximum value of $6.00 per share. Aurora’s board twice recommended rejection.

Through the first nine months of 2026, Curaleaf generated $1.017 billion in cumulative net revenue with net income from continuing operations of $45.2 million – a sharp reversal from a $152.4 million loss in the same period of 2025.

Overall, Curaleaf’s Q3 results reinforce a familiar dynamic of volume growth outpacing margin discipline. Record quarterly revenue confirms the global scale thesis has real traction, and three consecutive quarters of domestic growth give the Built For Growth narrative some credibility. But with adjusted gross margins declining three straight quarters, overhead rising faster than revenue, and the Aurora acquisition now facing a credible rival deal backed by Aurora’s own board, Q4 carries real weight.
