Vireo Growth Authorizes Share Buyback Program

MINNEAPOLIS – Vireo Growth Inc. has received board approval to begin a share repurchase plan under a normal course issuer bid. Following a series of strategic moves, including an expansion into Ohio and an earlier share consolidation, the company continues to build momentum as it integrates its recent acquisitions and broadens operational footprint.

The multisite Cannabis operator and agricultural markets company said it may repurchase up to 2,426,872 subordinate voting shares in the open market. The program is set to start on August 17, 2026, and will run until August 17, 2027, unless suspended, terminated or amended. Any shares purchased will be cancelled.

As of the announcement date, Vireo had 48,517,509 subordinate voting shares and 7,718 multiple voting shares outstanding. The multiple voting shares are convertible into an additional 771,800 subordinate voting shares.

CEO John Mazarakis said the company has made progress on its growth strategy through recent transactions. He described the buyback as a disciplined use of capital while the firm works to close and integrate those deals. Mazarakis added that the current market valuation does not fully reflect the strength of the business or the long-term value being built.

The company has appointed Haywood Securities as its broker for the program under an automatic purchase plan. Haywood will have discretion to buy shares at prices up to, but not exceeding, $18.75 per share, subject to trading parameters and applicable securities laws.

The authorization of a normal course issuer bid signals management’s view that the stock price offers an opportunity to return capital while the company focuses on integrating its expanded footprint. The size of the program relative to shares outstanding and the one-year term will allow flexibility as operational results from recent acquisitions become clearer.
