LOS ANGELES- Planet 13 Holdings Inc. multi-state cannabis company headquartered in Las Vegas, disclosed the results of its Annual General Meeting (AGM) held on June 10, 2025. The meeting addressed key matters related to corporate governance, including the re-election of directors, amendments to the company’s equity incentive plan, and the ratification of its independent auditor.

All five board nominees were re-elected by shareholders, though approval levels varied. Co-CEO Robert Groesbeck received 73.4% of the vote, while his fellow Co-CEO Larry Scheffler secured 93.7%. Other returning directors included Adrienne O’Neal (94.1%), Kevin Martin (89.7%), and David Loop (95.7%). The results indicate overall support for the current leadership, though Groesbeck’s comparatively lower approval may signal differing shareholder views on executive performance.

A key proposal to amend the company’s 2023 Equity Incentive Plan also passed, with 81.5% of votes in favor. The amendment raises the maximum number of common shares authorized for issuance from 22 million to 32 million. This expansion provides Planet 13 with increased flexibility to support compensation initiatives and potentially fund future growth strategies through equity grants.

Additionally, shareholders ratified the appointment of Davidson & Company LLP as the company’s independent registered public accounting firm for the upcoming fiscal year. The motion was supported by 91.9% of voters, reflecting confidence in the company’s financial oversight and audit practices.

Planet 13 operates prominent cannabis retail locations in several states, including Nevada, California, Illinois, and Florida. Its flagship dispensary near the Las Vegas Strip is among the largest in the United States. The AGM results reaffirm the company’s strategic direction and offer a glimpse into shareholder priorities as Planet 13 continues to navigate the evolving U.S. cannabis market.
