Final Bell Exhausts Strategic Options, Files for Bankruptcy in Canada

LOS ANGELES – Final Bell Holdings International Ltd. has made a voluntary assignment in bankruptcy under Section 49 of Canada’s Bankruptcy and Insolvency Act. A Licensed Insolvency Trustee was appointed, and the Office of the Superintendent of Bankruptcy issued a Certificate of Appointment on July 28, 2026. The company’s remaining director, Kay Jessel, resigned the day before.

In its statement, the company said it had spent years exploring alternatives and speaking with international conglomerates and strategic investors. None of those efforts produced a workable path forward. With resources exhausted, the board concluded the assignment was the only remaining option. Operating subsidiaries in the United States are now subject to a strict foreclosure process under Article 9 of the Uniform Commercial Code at the request of the senior secured lender. The company will not file audited financial statements, and securities regulators are expected to issue a cease-trade order. Creditors will receive formal notice and details of the first meeting from the Trustee in the coming days.

Final Bell was known for pioneering a “Cannabis as a Service” business model, providing end-to-end manufacturing, hardware design, and supply chain solutions for major Cannabis brands. Its subsidiary 14th Round established itself as a significant supplier of vaporization devices and related hardware in both the United States and Canada. The company also created specialized, child-resistant packaging solutions and custom hardware for top-tier lifestyle and Cannabis names like Cookies and Sherbinskis, co-manufactured, and provided private-label services that helped brands scale production under one roof. These capabilities positioned Final Bell as a behind-the-scenes partner for operators seeking specialized equipment, proprietary processes, and ready-to-market hardware during the industry’s expansion years.

The Canadian parent’s insolvency follows earlier distress at related entities. Final Bell Corp. had been drawn into the broader BZAM Ltd. CCAA proceedings and subsequent assignments in bankruptcy in 2025. The latest filing closes the public company’s remaining chapter.

This episode reflects the capital and operational pressures that have weighed on many mid-sized Cannabis service and hardware providers. Years of elevated costs, restricted access to traditional financing, and shifting market demand left limited room for recovery once strategic options closed. The Trustee will now administer the estate according to the Bankruptcy and Insolvency Act. Outcomes for remaining creditors and any residual value in the U.S. subsidiaries remain subject to the foreclosure and liquidation processes already underway.
