SNDL Reports Q3 2026 Financial and Operational Results
EDMONTON – SNDL Inc. released its third-quarter 2026 results, reporting record quarterly free cash flow of CA$20.0 million, up 19.5% YoY, and a return to positive adjusted operating income of $5.2 million, compared with a $9.5 million loss in Q3 2025.
Cannabis retail, operating across 193 Canadian locations, delivered its highest-ever quarterly revenue alongside a record gross margin of 27%. Same-store sales fell 3.8% in Ontario and Alberta, but a preliminary settlement with the Alcohol and Gaming Commission of Ontario [subject to a CA$200,000 monetary penalty and finalization of documentation] is expected to allow the Value Buds franchise network to resume growth in Ontario following a regulatory standstill of more than a year. The anticipated resolution will result in the deconsolidation of Ontario retail operations from SNDL’s financials, though the overall commercial arrangements are expected to substantially preserve SNDL’s net economics associated with those franchise locations.
Cannabis operations recorded the quarter’s most significant setbacks. Revenue fell 27.7%, driven largely by a deliberate exit from the unprofitable domestic dried flower category, while gross margin turned negative at -6.0%. A $52 million non-cash goodwill impairment charge drove the segment’s operating loss to $64.7 million. More than 30% of the workforce at the Kelowna manufacturing facility was reduced during the quarter. SNDL has since initiated a formal strategic review of Cannabis operations, with options on the table ranging from asset divestitures to broader productivity initiatives. The P&L benefits of Q3 cost reductions are expected to begin contributing to Q4 results.
In the U.S., SNDL raised its indirect equity stake in Florida-based medical Cannabis operator Parallel from approximately 67% to 92% following the completion of Parallel’s debt restructuring in July 2026, which reduced its debt burden by approximately US$842 million.
SunStream Bancorp, SNDL’s investment vehicle, now carries a portfolio value of $467.7 million. SNDL is evaluating structures that distinguish medical Cannabis operations from adult-use exposure, actively advancing a pathway to direct ownership and consolidation of Parallel’s qualifying U.S. medical Cannabis operations, subject to applicable legal, regulatory, accounting and Nasdaq requirements.
SNDL’s board authorized a potential substantial issuer bid of up to CA$50 million at no more than CA$1.92 per share (US$1.35), a transaction that could reduce the outstanding share count by more than 10% if fully subscribed. The company holds $617.8 million in unrestricted cash, securities, and investments, with no outstanding debt.
SNDL enters Q4 as a structurally divided company. Cannabis retail is operating at its best: record margins, fresh regulatory clarity in Ontario, and a franchise network set to grow again. Cannabis operations, by contrast, is under genuine stress: the impairment is significant, the losses are real, and the formal strategic review signals that the current production model is being fundamentally reassessed. The Parallel investment is the most closely watched thread heading into 2027, a potential bridge to direct, consolidated U.S. medical Cannabis ownership at a time when federal rescheduling is still unresolved. With no debt and over $600 million in liquid assets, SNDL has the financial latitude to pursue that transition on its own terms.
