Elixinol Offloads Its US Hemp Business to Ananda Health

SYDNEY – Australian Elixinol Wellness Limited has entered into a binding asset purchase agreement with Ananda Health to sell its wholly-owned subsidiary, Elixinol LLC, effectively exiting the United States hemp market.

Under the transaction terms, Ananda Health will acquire the assets, intellectual property, and operational goodwill of Elixinol’s U.S. operations for a total headline consideration of up to A$465,000. The agreement includes an upfront cash payment of A$250,000 alongside deferred consideration, transition-related cost reimbursements, and a regulatory contingent payment tied to potential statutory changes in federal U.S. hemp policy.

The decision to divest follows a broader corporate strategy by Elixinol leadership to reduce operational drag associated with complex U.S. regulatory frameworks. Despite generating historic brand equity in North America, the U.S. division contributed a diminishing share to overall group revenues while exposing the parent company to ongoing regulatory overhead.

Transitioning the U.S. portfolio to Ananda Health allows the brand to leverage an established, vertically integrated domestic manufacturing infrastructure. For Elixinol, the asset sale frees up working capital to reinforce its profitable domestic portfolio in Australia.

The transaction coincides with Elixinol’s half-year financial results, which showed narrowed net losses and improved gross margins driven primarily by its Australian nutrition and superfood segments. The company retains ownership rights to the Elixinol brand across all international jurisdictions outside the United States.

Executive leadership noted that the divestment aligns with a disciplined capital allocation strategy, allowing management to eliminate state-side compliance friction while retaining revenue-based earn-out potential over the coming twelve months.
